What is a Registered/Resident Agent or Registered/Resident Office?

A Registered Agent (or a Resident Agent) is an individual or a business entity located at a physical street address in a State that a company is located in or is authorized to do business in, whose sole responsibility is to accept legal documents (service of process, lawsuits, liens, subpoenas, etc) on behalf of the business entity. The registered office is the physical street address where the Registered Agent is located during normal business hours. The registered office address may be the same as the business place of business.

The registered office address must be a physical street address located in the State and cannot be a P.O. Box.

The registered office address is where the Corporation Division will mail correspondence, renewal and late notices, unless a separate mailing address for the business is provided, and where Legal Process Servers will deliver legal documents.

You should be aware that using your own business or home address as your Registered Agent Office can be embarrassing......

The reasons are simple, do you want Process Servers showing up at your place of business, serving you with lawsuits or subpoenas, perhaps during the most inconvenient times when your Clients are there or in front of your family and friends?  Do you want them to be coming to your place of Residence as well? The answers are most obvious, and for these reasons most companies choose others to act as their Registered Agent.

Who can act as a Registered Agent?

In many cases, frequently Attorneys or Accountants, like BC Business Services, Inc., will serve as the Registered Agent as they are more familiar with the process and legal aspects that must be conducted in a proper manner as they may affect the outcome of a court case, or dispute; equally, in many cases, Attorneys, as is the case many times with BC Business Services, Inc., will hire firms like ours to handle Registered Agent services for their Clients.

For these reasons, particularly the legal aspects of this field, it is suggested that you retain a competent firm like BC Business Services, Inc. to handle such matters for you.

We not only work with Attorneys as clients, and have access to other professionals in case there becomes an issue with a lawsuit, but we also serve in many cases as their authorized Registered Agent as well.

We may also advise you, or point you in the right direction so that you can properly defend yourself in the event that you are served with Legal Process.
